VOX User Terms of Use

These User Terms of Use (the "Terms") govern your access to and use of the VOX platform and any AI-powered expert assistant, chatbot, digital persona, conversational agent, or similar artificial intelligence feature made available through the platform (each, an "AI Feature"), operated by Vox Wins, Inc. ("VOX," "Company," "we," "our," or "us").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Services

VOX provides a platform through which users may interact with AI Features associated with individual experts, professionals, creators, organizations, or other third parties ("Experts").

AI Features are designed to provide users with access to an Expert's knowledge, experience, insights, opinions, communication style, and professional expertise through AI-generated interactions.

AI Features may include:

• Conversational assistants;
• Chatbots;
• Voice assistants;
• Digital personas;
• Interactive knowledge systems;
• Other AI-powered experiences.

VOX may modify, suspend, discontinue, or update any portion of the Services at any time.

2. Eligibility

You must be at least eighteen (18) years of age to use the Services.

By using the Services, you represent and warrant that:

• You satisfy all eligibility requirements;
• You have the legal capacity to enter into these Terms;
• Your use of the Services complies with applicable law.

3. User Accounts

Certain Services may require registration of an account.

You are responsible for:

• Maintaining the confidentiality of your login credentials;
• Restricting access to your account;
• All activity occurring under your account.

You agree to notify VOX promptly of any unauthorized use of your account or any security breach.

4. User Content

You may submit prompts, messages, questions, files, documents, images, audio recordings, video recordings, or other materials through the Services ("User Content").

You retain ownership of your User Content.

By submitting User Content, you grant VOX a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use such User Content as reasonably necessary to:

• Provide and operate the Services;
• Generate AI responses;
• Maintain platform functionality;
• Ensure security and integrity;
• Comply with legal obligations;
• Enforce these Terms.

You represent and warrant that:

• You own or have all necessary rights to submit User Content;
• Your User Content does not violate any law;
• Your User Content does not infringe the rights of any third party.

5. Submission of Confidential Information

You are responsible for determining whether you are authorized to submit information through the Services.

Unless expressly authorized by VOX in writing, you agree not to submit material non-public information, trade secrets, confidential business information, export-controlled information, regulated personal information, or other information subject to legal, contractual, fiduciary, employment-related, or other confidentiality restrictions.

You remain solely responsible for ensuring that your use of the Services complies with applicable laws, employer policies, contractual obligations, and confidentiality requirements.

6. AI Features and AI Output

When you interact with an AI Feature, you may receive responses, content, recommendations, analyses, suggestions, or other information generated by artificial intelligence systems ("AI Output").

You acknowledge and agree that:

• AI Output is generated automatically using artificial intelligence and machine learning technologies;
• AI Output may contain inaccuracies, omissions, errors, or outdated information;
• AI Output may not reflect an Expert's current views, opinions, knowledge, or recommendations;
• Similar inputs may generate similar outputs for different users;
• AI Output should be independently evaluated before being relied upon.

VOX does not guarantee the accuracy, completeness, reliability, availability, legality, or usefulness of any AI Output.

You remain solely responsible for decisions, actions, or outcomes resulting from your use of AI Output.

7. No Professional Relationship

Your use of the Services does not create:

• An attorney-client relationship;
• A physician-patient relationship;
• A therapist-patient relationship;
• An investment advisory relationship;
• A fiduciary relationship;
• Any other legally recognized professional-client relationship with VOX.

Unless expressly stated by the applicable Expert, interactions with an AI Feature do not constitute direct engagement with the Expert.

VOX is a technology platform and does not itself provide legal, medical, financial, investment, accounting, tax, mental health, employment, or other regulated professional services.

8. AI Training and Data Usage

VOX does not use User Content, conversation transcripts, prompts, responses, uploaded files, voice recordings, video recordings, or other user data to train foundation models, large language models, or third-party artificial intelligence models.

Your information is processed only as necessary to provide the Services, generate requested responses, maintain platform functionality, ensure security, prevent abuse, provide customer support, and comply with legal obligations.

VOX may use aggregated, anonymized, or de-identified information that cannot reasonably identify an individual to improve the Services, analyze platform performance, develop features, and support business operations.

VOX may store conversation transcripts, prompts, AI outputs, uploaded content, and related session information as part of operating, securing, maintaining, supporting, troubleshooting, and improving the Services. Information may be retained for operational, security, compliance, audit, and service-improvement purposes consistent with our Privacy Policy.

9. Information Shared with Experts

The AI Feature with which you interact may be associated with a particular Expert.

You acknowledge and agree that information relating to your interactions with an AI Feature may be shared with the Expert responsible for that AI Feature, including:

• Conversation transcripts;
• User prompts and questions;
• Uploaded content;
• Feedback;
• Usage analytics;
• Interaction history.

Experts may use such information to improve their AI Features, better understand user interactions, evaluate performance, and enhance user experiences.

10. Voice, Video, and Biometric Processing

Certain AI Features may allow voice or video interactions.

By using such features, you consent to VOX collecting, processing, storing, and analyzing:

• Voice recordings;
• Audio files;
• Video recordings;
• Facial images;
• Speech transcriptions;
• Related metadata.

Such information may be used to provide the Services, operate AI Features, improve functionality, ensure security, and comply with legal obligations.

Additional notices and consents may be provided where required by applicable law.

11. Acceptable Use

You agree not to:

• Violate any law or regulation;
• Upload unlawful, fraudulent, defamatory, abusive, or harmful content;
• Infringe intellectual property rights;
• Submit malware, viruses, or malicious code;
• Interfere with platform operations;
• Attempt unauthorized access to systems or accounts;
• Reverse engineer, decompile, or attempt to discover source code;
• Use automated tools to scrape, extract, or harvest content without authorization;
• Impersonate another person or entity;
• Use the Services to facilitate illegal activity.
• Use the Services to develop, train, benchmark, improve, or support any competing artificial intelligence system, model, product, service, dataset, or database;

VOX reserves the right to investigate and take appropriate action regarding violations of these Terms.

12. Intellectual Property

The Services, including all software, technology, interfaces, models, algorithms, trademarks, logos, designs, and related intellectual property rights, are owned by VOX or its licensors.

Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

You may not copy, modify, distribute, license, sell, lease, reproduce, or otherwise exploit any portion of the Services without prior written authorization.

13. Third-Party Services

The Services may contain links to, integrations with, or functionality provided by third-party services.

VOX does not control and is not responsible for third-party services, products, websites, or content.

Your use of third-party services is governed solely by their terms and policies.

14. Fees and Payments

Certain Services or features may require payment. By purchasing credits, subscriptions, or other paid Services, you agree to pay all applicable fees as described within the Services or at the time of purchase.

Fees are non-refundable unless otherwise specified or required by applicable law.

You are responsible for any taxes associated with your use of the Services, excluding taxes based on VOX's net income.

VOX may modify fees or pricing upon prior notice.

Failure to pay applicable fees may result in suspension or termination of access to certain Services or features.

15. Suspension and Termination

VOX may suspend, restrict, disable, remove, or terminate your access to the Services at any time if VOX reasonably believes:

• You violated these Terms;
• Your conduct creates legal, security, operational, or reputational risk;
• Your use harms the Services, other users, Experts, or third parties;
• Applicable law requires such action.

You may discontinue use of the Services at any time.

Upon termination, your right to access and use the Services immediately ceases.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• TITLE;
• NON-INFRINGEMENT;
• ACCURACY;
• RELIABILITY;
• AVAILABILITY.

VOX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY, ARISING OUT OF OR RELATING TO THE SERVICES, THIS AGREEMENT, OR THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

(A) THE TOTAL AMOUNT PAID BY YOU TO VOX DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS (US $100).

THE PARTIES ACKNOWLEDGE THAT THESE LIMITATIONS FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THEM.

18. Indemnification

You agree to defend, indemnify, and hold harmless VOX and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services;
• Your User Content;
• Your violation of these Terms;
• Your violation of applicable law;
• Your infringement of any third-party rights.

19. Dispute Resolution; Arbitration

PLEASE READ THIS SECTION CAREFULLY.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its applicable rules.

You and VOX agree that:

• Arbitration shall be conducted on an individual basis only;
• Neither party may participate in a class action, class arbitration, or representative proceeding;
• Both parties waive any right to a jury trial.

If any portion of this arbitration provision is found unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.

21. Changes to These Terms

VOX may modify these Terms from time to time.

Updated Terms will be posted on the platform with a revised Effective Date.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.

22. Miscellaneous

These Terms constitute the entire agreement between you and VOX regarding the Services and supersede all prior agreements relating to the same subject matter.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

VOX may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

You may not assign these Terms without VOX's prior written consent.
